Directors across African boardrooms face rising personal liability as courts and regulators take a stricter view of fiduciary duty and oversight failure, and the defence rests on what the board can show it considered rather than on what it intended. This course covers that ground. Delegates work through the duties of care, skill and good faith and what each requires in practice, the boundary between governance and management that boards routinely cross in both directions, and the board's oversight of strategy, risk and financial reporting. Committee structure and delegation are covered, along with what cannot be delegated. Meeting conduct, minutes and recording dissent are addressed as the evidence they become. The course closes on conflicts, related party transactions and directors' liability insurance.
